Catherine Overton

Catherine trained and qualified at Clifford Chance in London, where she worked from 2005 to 2012, and where she was promoted to senior associate in the securitisation and capital markets practice. She spent over 10 years working onshore in private practice in the structured finance space before moving offshore.

Catherine's deal experience includes:

• Acting for the financing parties on a US $2 billion finance facility and US $900,000,000 capital market bond issuance in connection with a private equity acquisition of a minority stake in a global advisory and education management firm.
  
  
• Acting as Cayman Islands counsel in connection with a US $50,000,000,000 limited recourse secured debt issuance programme, advising the Cayman Islands-incorporated issuer under the programme.
  
  
• Acting as Cayman Islands counsel to Trident Energy on the financing of its proposed acquisition of (i) the entire issued share capital of Chevron Overseas (Congo) Limited which holds a 31.5% non-operated working interest in the Moho-Bilondo, Nkossa, Nsoko II fields and a 15.75% operated interest in the Lianzi field; and (ii) additional 53.5% working interest in the Nkossa and Nsoko II fields from TotalEnergies (as well as divesting a 10% working interest in the Moho-Bilondo field to TotalEnergies). Subject to approval from the relevant authorities, this strategic transaction is anticipated to be completed by the end of Q4 2024.
  
  
• Acting as BVI counsel to the senior lenders on the US$450,000,000 senior financing related to the acquisition by TNOG Oil and Gas of a stake in OML-17, an onshore asset in Nigeria. Across the capital structure, the deal value was US$1,100,000,000. Described as 'one of the largest and most prominent oil and gas deals in Africa for more than a decade', a group of global and regional banks and investors provided US$1.1 billion across the different layers of the capital structure. The deal won "Africa Deal of the Year" at the PFI awards.
  
  
• Acting for Walgreen Boots Alliance, Inc. (Nasdaq: WBA) in connection with a corporate restructuring in relation to the sale of its pharmaceutical wholesale business to AmerisourceBergen Corporation, with the company deploying proceeds of US$6.5 billion to reduce debt and accelerate growth of its core retail pharmacy and healthcare businesses.
  
  
• Representing Trident Energy on its leveraged acquisition of the Pampo and Enchova oil fields offshore Brazil from Petrobras; which concluded with payment of US $365,400,000 to Petrobras with contingent payment of an additional amount of US $650,000,000.
  
  
• Acting as Cayman counsel to The Mauritius Commercial Bank Limited on a senior secured borrowing base facility to the Apex International Energy group. As a result of the transaction, Apex became the eighth leading oil producer in Egypt and anticipates first gas production in 2023
  
  
• Acting as Cayman counsel to BNP Paribas and Credit Agricole CIB on the US$150,000,000 refinancing of Pharos Energy's reserved-based lending facility against its producing assets in Vietnam.
