Walkers Acts on First Successful Virtual Asset Service Provider Registration

Walkers Cayman Islands is pleased to announce that it recently assisted a client with its successful application to become registered under the new Virtual Asset (Service Providers) Act (the "Act"). The registration approval is the first to be granted by the Cayman Islands Monetary Authority under the new Act, and represents a very exciting development in the growing virtual asset and fintech industry in the jurisdiction.

The Walkers team was led by Regulatory & Risk Advisory partner Lucy Frew with assistance from associate Sabena Panesar.

Walkers' Jersey and Ireland Teams Advise Eagle Street on Real Estate Acquisitions

Walkers has advised Eagle Street Partners (together with Ashurst, Eversheds, Kirkland & Ellis and Paul Burness) on a series of strategic real estate acquisitions including office buildings in Dublin and Glasgow, a business park site in Newcastle, a BTR development at Castleforbes in Dublin, and offices in Uxbridge.

Lawyers from Walkers' offices in Jersey and Ireland were involved in advising Eagle Street, with Walkers Professional Services (Ireland) providing corporate administration services.

Lawyers from Walkers' Jersey Investment Funds & Corporate and Banking & Finance Practice Groups (led by Partner Jonathan Heaney and Group Partner Jon Le Rossignol, respectively) advised Eagle Street on the acquisitions, advising on the Jersey law elements of financing, acquisition and corporate structuring, while Walkers' Irish Real Estate and Tax Practice Groups (led by Partners Rachel Rodgers and Jonathan Sheehan, respectively) advised on various aspects of the projects.  

Jonathan Heaney said: "Having advised Eagle Street Partners on their formation it is enormously pleasing to be able to continue our relationship with them, as their strategic acquisitions continue. Eagle Street's use of Jersey for structuring real estate holdings is an excellent demonstration of Jersey's ongoing appeal in the context of UK and Irish real estate assets."

Walkers (London) acts as Cayman Islands counsel to Group 11 on ground-breaking VC Fund Launch and Listing

Walkers (London) is pleased to announce that it has acted as Cayman Islands counsel on the launch of Group 11's US$200 million Fund V, the first venture capital fund to join trading on the TASE UP platform.  TASE UP is an innovative electronic trading platform, available to institutional and accredited Israeli investors, that allows high-tech companies, venture capital funds, credit funds, and real estate funds to trade on the Tel Aviv Stock Exchange, while remaining private.

Leading Israeli public institutions, including Harel Insurance Company, More Investment House, Menora Mivtachim, Migdal Group and Hachshara Insurance Company, participated in Group 11’s financing round.

Group 11 is a Silicon Valley-based venture capital firm, founded by Dovi Frances, that invests in revolutionary technology companies from the financial services industry. Since its inception at the end of 2011, the firm has invested over US$500 million in some of Silicon Valley’s most prominent and disruptive financial technology companies. While the fund invests predominantly in US-based companies, about 70% of its portfolio is Israeli-related with Israeli founders at the helm and R&D presence in Israel.

The Walkers (London) team was led by investment funds partner, Matthew Bloomfield and senior counsel, Ian Williams, with support from corporate finance partner, Neil McDonald and senior associate, Thomas Mawson.

London partner Matthew Bloomfield commented: "We are delighted to have been able to assist Group 11 on the launch of Fund V and its listing on the TASE-UP Platform.  For many years, industry has been exploring ways to bring investor liquidity to PE/VC structures, and it is tremendous to be a part of the story as Group 11 has achieved just this with such an innovative product.  From a personal perspective, it was also terrific to be part of a 'Tier 1' team that was able to provide a time-zone bridge between the US and Israel market, with both Cayman funds and finance expertise here in London."

Walkers Advises Sidra Capital on US$155 million Shari'a-Compliant Fund Structure

Walkers has advised Sidra Capital, a leading Shari'a-compliant asset manager headquartered in Jeddah, Kingdom of Saudi Arabia, on the formation and launch of a Shari'a-compliant fund structure in the Cayman Islands.

The purpose of the fund is to facilitate investment into industrial property assets in the United States by Islamic investors within the Kingdom. The fund was fully subscribed at US$155 million within three weeks of the launch.

International law firm Mayer Brown acted as lead counsel to Sidra Capital, with Walkers acting as Cayman Islands counsel. The Walkers team was led by Partner Tom Cochrane, with assistance from Senior Associate Tom Hagger.

Tom Cochrane commented: "We are working on a lot of these types of fund structures from our Dubai office and they are becoming increasingly popular among asset managers looking to raise capital from Islamic investors. These investors typically have significant capital to deploy and these structures allow them to do so in a Shari'a-compliant manner."

Walkers Cayman Acts on IHS Holding Limited's NYSE IPO

Walkers is pleased to have acted as Cayman Islands counsel in respect to IHS Holding Limited's initial public offering which valued the company at US$7 billion. The ordinary shares from the IPO began trading on the New York Stock Exchange on October 14, 2021 under the ticker symbol “IHS”.

Launched in 2001, IHS Holding Limited is one of the largest independent owners, operators, and developers of shared telecommunications infrastructure in the world.

The Walkers team worked alongside Latham & Watkins' London and New York teams and was led by Cayman Islands partners Rolf Lindsay and Andrew Barker, with assistance from associate Sam Francis.
