Muireann Nic Dhonncha is based in Walkers' Irish office where she is a Partner in the firm's Finance and Capital Markets Group.
Muireann's principal practice areas are finance and capital markets, securitisations, distressed investment, finance and corporate restructuring.
In particular, she advises on Irish and EU legal and regulatory aspects of the establishment, financing, operation and management of Irish special purpose vehicles and other investment vehicles which acquire a broad range of asset classes (including loans, mortgages, receivables, distressed assets, insurance linked securities).
Muireann also advises borrowers and lenders on a wide range of secured and unsecured lending transactions.
Some of Muireann's recent transactions include:
- Acted as issuer counsel to a major European reinsurer on the placement of a US$190,000,000 catastrophe bond deal through an Irish special purpose vehicle – this was the first SPV to be authorised by the Central Bank of Ireland following the implementation of the Solvency II regime under the European Union (Insurance and Reinsurance) Regulations 2015;
- Acting as issuer counsel in relation to a €680 million commercial mortgage backed securitisation through an Irish special purpose vehicle (DECO 2014-Bonn Limited), winner of the Finance Dublin Capital Markets ABS/Securitisation Deal of the Year 2015;
- Acting as lead counsel in relation to a US$40 billion re-domiciliation of a prime brokerage entity from the Cayman Islands to Ireland and a securitisation conduit from Delaware to Ireland;
- Acting as issuer counsel in relation to European Collateralised Loan Obligation (CLO) transactions;
- Acting as lead counsel to a number of US hedge funds and private equity funds which invest in distressed, stressed, performing and non-performing European assets; and
- Acting as trustee and agency counsel on Irish law capital market deals.
